These Terms of Service ("Terms") govern your access to and use of the VF Noir Vendors Forum website and mobile application (together, the "Platform"), operated by VF Noir Vendors Forum ("we", "us", "our"). By creating an account, browsing, or placing an order on the Platform, you agree to these Terms. If you don't agree, please don't use the Platform.
1. Who We Are: A Marketplace, Not a Seller
VF Noir Vendors Forum is a marketplace that connects independent third-party Sellers with Buyers. A small number of listings are sold directly by VF Noir Vendors Forum itself through the app's normal cart and checkout — everything else is an independent Seller's own listing. Each Seller is solely responsible for the accuracy of their listings, the quality and legality of their products, and fulfilling orders placed against those listings.
2. Accounts
You must provide accurate information when creating an account and keep your login credentials confidential. You're responsible for all activity that happens under your account. You must be legally able to enter into a binding contract to use the Platform.
3. Two Ways to Buy
Depending on the listing, there are two different buying flows on the Platform:
- Direct checkout — for the small set of listings sold and fulfilled by VF Noir Vendors Forum itself, you add to cart and pay through the app's checkout (processed via Paystack and/or Flutterwave; VF Noir Vendors Forum does not store your card details).
- Chat Seller — for independent Sellers' listings (the majority of the Platform), you message the Seller directly through the in-app chat to arrange price, payment, and delivery. VF Noir Vendors Forum facilitates that conversation but is not a party to the resulting sale contract and does not process payment for it.
Which flow applies is shown on the listing itself.
4. Sellers
Sellers who list products on the Platform agree to the separate Seller Agreement, which covers listing standards and prohibited items in detail. That agreement is incorporated into these Terms by reference for any user operating a seller account.
5. Affiliates
Users who join our affiliate program earn commission on purchases made through their referral link, subject to the terms presented at signup and tracked automatically by the Platform. Affiliate commissions apply only where a purchase is actually processed through the Platform (see Section 3) and are unrelated to seller listings arranged via chat.
6. Prohibited Conduct
You agree not to: use the Platform for any unlawful purpose; list, sell, or attempt to purchase prohibited items (see the Seller Agreement for the current list); interfere with the Platform's operation or security; misrepresent your identity; or use the Platform (including its chat feature) to harass, defraud, or infringe the rights of others.
7. Intellectual Property
The VF Noir Vendors Forum name, logo, and Platform design are our property. Sellers retain rights to their own product content but grant us a license to display it on the Platform for the purpose of operating the marketplace.
8. Limitation of Liability
To the fullest extent permitted by law, VF Noir Vendors Forum is not liable for the acts or omissions of independent Sellers, including product quality, accuracy of listings, delivery, or any terms arranged directly between a buyer and seller in chat. Our role for chat-arranged listings is to facilitate discovery and communication, not to process or guarantee the transaction. Where the law does not permit this limitation, our liability is limited to the amount you actually paid VF Noir Vendors Forum (i.e., through direct checkout) for the order giving rise to the claim.
9. Termination
We may suspend or terminate your account for violating these Terms, fraudulent activity, or misuse of the Platform. You may stop using the Platform at any time.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes take effect means you accept the updated Terms. We'll update the "Last updated" date above whenever changes are made.
11. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, and any disputes arising from them are subject to the exclusive jurisdiction of the courts of Nigeria.
